The Service Provider retains all proprietary rights, including copyrights, trademarks, patents, design elements, and source code associated with the Application (collectively, the "IP"). The Service Provider maintains the right to suspend or revoke your access to the Application in the event of a material breach of this agreement. For curable breaches, we will issue a notification allowing you a 14-day window to rectify the violation. Failure to comply will result in license termination.
Conversely, we reserve the right to terminate your access instantly and without prior warning if your conduct contravenes local laws, infringes upon third-party intellectual property, or poses a security risk to our infrastructure.
To the fullest extent permissible by law, the Service Provider shall not be held liable for any consequential, incidental, indirect, or special damages, including but not limited to loss of revenue, data corruption, or business interruption. Our maximum cumulative liability for any claims arising from the Application is strictly limited to the total amount you have paid to us for the Application during the preceding 12 months, or the minimum threshold mandated by law.
You agree to indemnify, defend, and hold harmless the Service Provider, its affiliates, employees, and agents from any legal claims, financial losses, damages, or expenses (including reasonable attorney fees) that result directly from your misuse of the Application or your violation of these established Terms.
These Terms shall be governed by and interpreted in accordance with the laws of the jurisdiction in which the Service Provider is established, excluding its conflict of law provisions, unless mandatory local consumer protection statutes dictate otherwise.
Should the Application be legally classified as an intermediary service under the European Union Digital Services Act (DSA), the following stipulations apply:
If any provision of these Terms is deemed unlawful or unenforceable by a court of competent jurisdiction, that specific provision shall be modified to the minimum extent necessary to render it enforceable, while the remainder of these Terms shall persist in full effect. Together with our Privacy Policy, these Terms constitute the entire agreement between you and the Service Provider.
